Inspired Scoop Digital Services Partnership Terms of Service

1. Introduction
These terms of service (“Terms of Service”) set forth the terms and conditions that shall apply to the relationship between Inspired Scoop Digital Services (“ISDS”) and all merchants, affiliates and contributors (“Users”) who use ISDS’s websites, products and services (collectively, “Services”). These Terms of Service shall constitute a legal agreement between ISDS and each User.2. Use of Services
2.1. Each User shall have the right to use the Services in accordance with these Terms of Service. ISDS may, from time to time, modify the Services, including any related software, services, and/or documentation, without notice. 2.2. Each User agrees that he/she will not use the Services for any illegal purpose, and will not use the Services to harass, threaten, or otherwise violate the legal rights of any third party. 2.3. Each User agrees to indemnify and hold harmless ISDS from any and all claims, losses, liabilities, damages, and expenses (including attorney’s fees) that may arise out of the User’s use of the Services.3. Merchant Use of Services
3.1. Merchants may use the Services to create, promote, and manage their products and services (“Merchant Services”). Merchants are solely responsible for the content, accuracy, and legality of Merchant Services. 3.2. Merchants shall be solely responsible for collecting, paying, and remitting all applicable taxes to the appropriate government agencies. 3.3. Merchants shall be solely responsible for all costs associated with using the Services.Note: Please refer to our complete Merchants' Terms of Service Agreement before proceeding as a merchant. This is just a little part of the full agreement.
4. Affiliate Use of Services
4.1. Affiliates may use the Services to promote and manage the products and services of Merchants (“Affiliate Services”). Affiliates are solely responsible for the content, accuracy, and legality of Affiliate Services. 4.2. Affiliates shall not use the Services for any illegal purpose, and shall not use the Services to harass, threaten, or otherwise violate the legal rights of any third party.Please refer to our complete Affiliates' Terms of Service Agreement before proceeding as an Affiliate. This is just a little part of the full agreement.
5. Contributor Use of Services
5.1. Contributors may use the Services to create and submit content or other materials (“Contributor Content”) to ISDS. Contributors are solely responsible for the content, accuracy, and legality of Contributor Content. 5.2. Contributors shall not use the Services for any illegal purpose, and shall not use the Services to harass, threaten, or otherwise violate the legal rights of any third party.Please refer to our Contributors' Terms of Service Agreement before proceeding as a Contributor. This is just a little part of the full agreement.
6. Termination
6.1. ISDS may terminate or suspend any User’s access to the Services at any time, for any reason, and without notice.7. Disclaimer of Warranties
7.1. ISDS does not make any representations or warranties regarding the accuracy, completeness, or reliability of any of the Services. ISDS shall not be liable for any damages, including, but not limited to, direct, indirect, incidental, special, consequential, or punitive damages, arising from any User’s use of the Services.8. Miscellaneous
8.1. These Terms of Service shall be governed by and construed in accordance with the laws of the State of California. 8.2. If any provision of these Terms of Service is found to be invalid or unenforceable, such provision shall be severed and the remaining provisions shall remain in full force and effect. 8.3. These Terms of Service constitute the entire agreement between the parties relating to the subject matter hereof. No amendment to these Terms of Service shall be valid unless in writing and signed by both ISDS and each User.
